Synergy App Ltd, formerly operating as Symless Ltd, Symless Operations Ltd, and Symless, Inc. (collectively, “the Company”) provides Synergy software under the terms of this End-User License Agreement ("EULA"). This EULA is a legal agreement between you (the user) and the Company. It governs the acquisition and use of Synergy software sold directly or through authorized resellers. The Software includes unique products, each with its own lifetime or lifespan.
Users must read carefully before purchasing or installation. By clicking "accept" or installing and/or using the Software, users confirm acceptance and agree to be bound by these terms. Those representing companies must have authority to bind their entity. Non-acceptance means the user should not install or use the Software.
This EULA applies to the supplied Software, updates, supplements, Internet-based services, and support services unless other terms accompany delivery.
The Company grants a non-transferable, non-exclusive license to use the Software on your devices per the terms of this EULA. Users may load the Software on computers under their control and bear responsibility for meeting minimum requirements.
Prohibited activities (except open-source components):
The Company shall at all times retain ownership of the Software and all intellectual property rights. This EULA excludes open-source components. The Company reserves the right to license the Software to third parties.
A Personal License is for strictly personal, non-commercial use. Any use of the Software that supports, enables, or is conducted in the course of any trade, business, profession, or compensated activity is considered commercial use and requires a Business License. Personal Licenses must be purchased by an individual with their own funds and may not be purchased, reimbursed, or financed by any employer, client, or business.
A single license covers one Synergy server installation, defined as one computer acting as the keyboard and mouse host. Each additional server requires a separate license.
If your use changes from personal to commercial, you must upgrade to a Business License before continuing use. Contact [email protected] to upgrade. Paid Personal License fees are non-refundable but may be applied as credit toward a Business License purchase at the Company's discretion.
For Individual Users:
If the Company determines that a Personal License has been used for commercial purposes, the Company may terminate your license with immediate effect.
For Corporations and Organizations:
Where the licensee is a corporation or business entity, the Company reserves the right to audit use of the Software, including by requesting written confirmation of use and relevant purchase records. If an audit confirms use of a Personal License for commercial purposes, the Company may: (a) require payment of retroactive Business License fees at the then-current list price, plus 4% per annum above the Bank of England base rate as amended from time to time from the date commercial use commenced, or where that date cannot be determined, from the date of license purchase; and (b) terminate your license with immediate effect.
A "Product" refers to a distinct, unique product. The Lifetime period of a Product is determined by the Company. During the Lifetime, the Company provides updates and technical support. Lifetime does not mean the lifetime of a person, company, or anything other than the lifetime of a Product.
This EULA becomes effective upon first use and continues until terminated. Users may terminate by written notice to the Company. Non-compliance triggers immediate termination, ending all licenses and use rights. Surviving provisions continue post-termination.
This EULA and any dispute arising out of or in connection with it shall be governed by and construed in accordance with the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales in respect of any action, proceedings, or disputes arising out of or in connection with this EULA or its formation or validity.
